Agreement Overview

By using Fada Cloud services, you agree to these terms. We provide cloud infrastructure services with high availability and security. You're responsible for your content and usage compliance.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of Fada Cloud services provided by Open Source IT ("Company," "we," "us," or "our"). By accessing or using our services, you ("Customer," "you," or "your") agree to be bound by these Terms.

If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms.

2. Service Description

Fada Cloud provides cloud computing services including:

  • Virtual machine instances and compute resources
  • Block storage and backup services
  • Network services including load balancers and VPC
  • Managed services and monitoring tools
  • API access and management interfaces

Services are provided "as-is" and may be updated, modified, or discontinued at our discretion with appropriate notice.

3. Account Registration and Security

Account Creation

To use our services, you must:

  • Provide accurate and complete registration information
  • Be at least 18 years old or have parental consent
  • Have legal authority to enter into this agreement
  • Maintain and update your account information

Account Security

You are responsible for:

  • Maintaining the confidentiality of account credentials
  • All activities that occur under your account
  • Immediately notifying us of unauthorized access
  • Using strong passwords and enabling two-factor authentication

4. Acceptable Use Policy

Permitted Use

You may use our services for lawful business and personal purposes consistent with these Terms.

Prohibited Activities

You may not use our services to:

  • Violate any laws, regulations, or third-party rights
  • Send spam, malware, or engage in phishing activities
  • Launch attacks on other systems or networks
  • Host illegal content or facilitate illegal activities
  • Interfere with or disrupt our services or infrastructure
  • Attempt to gain unauthorized access to our systems
  • Mine cryptocurrency without explicit authorization
  • Violate intellectual property rights

5. Service Availability and Support

Service Level

We strive to maintain high service availability as outlined in our Service Level Agreement (SLA). However, services may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice)
  • Emergency maintenance or security updates
  • Force majeure events beyond our control
  • Network or infrastructure issues

Support Services

Support is provided based on your service plan:

  • Basic support via email and portal
  • Priority support with faster response times
  • Dedicated support for enterprise customers

6. Payment and Billing

Fees and Payment

  • Fees are based on your service usage and selected plans
  • Payment is due monthly or as otherwise agreed
  • All fees are exclusive of applicable taxes
  • Late payments may result in service suspension

Billing Disputes

Billing disputes must be reported within 30 days of the billing date. We will investigate and resolve disputes promptly.

7. Data and Content

Your Data

You retain ownership of all data and content you store on our services. You grant us the right to:

  • Store, process, and transmit your data to provide services
  • Access data as necessary for technical support
  • Make backups for service reliability

Data Responsibility

You are responsible for:

  • The legality and appropriateness of your content
  • Maintaining backups of critical data
  • Complying with data protection laws
  • Ensuring proper data security measures

8. Intellectual Property

Our services, software, and documentation are protected by intellectual property laws. You may not:

  • Copy, modify, or reverse engineer our software
  • Remove or alter proprietary notices
  • Use our trademarks without permission
  • Create derivative works based on our services

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using our services, you consent to our privacy practices as described in the Privacy Policy.

10. Service Modifications and Termination

Service Changes

We may modify, update, or discontinue services with appropriate notice. We will provide:

  • 30 days notice for significant changes
  • 90 days notice for service discontinuation
  • Migration assistance when possible

Account Termination

Either party may terminate this agreement:

  • You may cancel your account at any time
  • We may suspend/terminate for Terms violations
  • Termination does not relieve payment obligations
  • Data may be deleted after account termination

11. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability is limited to fees paid in the preceding 12 months
  • We are not liable for indirect, incidental, or consequential damages
  • We do not guarantee uninterrupted or error-free service
  • You use our services at your own risk

12. Indemnification

You agree to defend, indemnify, and hold us harmless from claims arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your content or data
  • Your violation of third-party rights

13. Governing Law and Disputes

These Terms are governed by the laws of Jordan. Any disputes will be resolved through:

  • Good faith negotiation
  • Mediation if negotiation fails
  • Arbitration or Jordanian courts as a last resort

14. General Provisions

Entire Agreement

These Terms, along with our Privacy Policy and SLA, constitute the entire agreement between us.

Amendments

We may update these Terms with 30 days notice. Continued use constitutes acceptance of changes.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.
